Who We Are and Applicability

1.1. These Terms of Use (“Terms”) govern your access to and use of the ShareDivi F.Z.E. platform, which includes our website, mobile application, and any related services or features (collectively, the “Platform”).

1.2. The Platform is owned and operated by SHAREDIVI F.Z.E., duly incorporated and existing under the laws of the United Arab Emirates, with its registered office located in [Ajman Free Zone – B.C. 1307087 Sharedivi F.Z.E. AJMAN, United Arab Emirates], ShareDivi”, “we”, “our”, or “us”.

ShareDivi is a global online platform created to connect individuals, companies, and opportunities by means of a unique system of Shares, which can be transformed into real-world value in accordance with these Terms. Our aim is to provide an accessible ecosystem where participation, referrals, and commercial activity generate measurable rewards.

1.4. Membership structure:

The Platform is designed around three categories of membership:

• Sharer – an individual who can join free of charge, invite others, and start earning Shares;
• PowerSharer – an individual who reaches the defined ShareDivi threshold and unlocks enhanced reward mechanics; 375 SHARES automatic upgrade.
• AdSharer – a business, company, or independent professional who offers products or services through the Platform. An AdSharer may allocate, at its discretion, a specific number of Shares as a reward to the purchaser (Sharer or PowerSharer) only upon the actual purchase of the AdSharer’s product or service. Rewards are therefore transaction-based and cannot be issued independently of a completed sale.

1.5. Member benefits:

Each category of member is granted access to a personal dashboard where they may monitor in real time their Shares, referrals, purchases, and other Platform activities.

1.6. AdSharers are additionally provided with templates and tools to upload and promote their products, services, and marketing content.

1.7. Community vision:

By establishing a community in which every eligible transaction and referral generates Shares, ShareDivi seeks to make earning opportunities accessible to everyone—whether individuals wishing to share and benefit, or businesses aiming to expand their customer base and reward loyalty.

1.8. Acceptance of Terms.

By creating an Account, registering as a Sharer, PowerSharer, or AdSharer, or by otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you may not access or use the Platform.

2. Definitions

• 2.1. Account: your registered user profile.
• 2.2. Sharer: free member who can invite others.
• 2.3. PowerSharer: member with at least ≥ 375 Shares (1 ShareDivi).
• 2.4. AdSharer: business/company/independent professional offering goods or services.
• 2.5. Shares: loyalty/reward points within the Platform; 1 Share = €1 ; may be redeemed in local currency.

2.6: Starter addivi: The Starter addivi is an entry-level package for AdSharers and costs 100 Shares. It provides new AdSharers with a trial period that unlocks full access to all dashboard features, allowing them to explore and test the platform extensively.

With the Starter addivi, the user receives a 20 Shares that can be distributed to Sharers or PowerSharers to experience how the system works and to test their reach. In addition, AdSharers can add up to 10 products to their catalog during this trial phase.

2.7. Pro AdDivi: the mandatory membership package for AdSharers to remain active on the Platform. Each AdSharer must maintain at least one AdDivi at all times, renewable every two (2) months. The purchase price of one AdDivi is 350 Shares, for which the AdSharer receives 450 Shares in return, distributed over time (“spread in time”). The number of AdDivis held determines the scale of the AdSharer’s potential rewards and activity level.

2.8. ShareDivi – the membership unit required for users to qualify and remain active as a PowerSharer. One ShareDivi is obtained for 375 Shares. A PowerSharer must always maintain at least one ShareDivi in reserve in order to keep the account active. When a Sharer purchases one ShareDivi, their account is automatically upgraded to PowerSharer status. Each ShareDivi entitles the holder to a return of 650 Shares, distributed over time (“spread in time”).

3. Role of ShareDivi (Platform)

ShareDivi acts solely as a technological intermediary providing the Platform on which members can interact, purchase memberships or packages, and participate in the reward system. ShareDivi does not buy, sell, or provide any of the products or services offered by AdSharers, nor does it act as an agent or representative of members.

3.2. AdSharers are solely responsible for the quality, legality, pricing, and delivery of their products and services. Any contractual relationship arising from a purchase is exclusively between the AdSharer and the purchasing Sharer or PowerSharer.

3.3. The membership units and packages available on the Platform (including ShareDivi, ProAdDivi, Starter Addivi, and DiscountbackPacks) are designed purely as platformbased participation and loyalty mechanisms. They do not represent shares, securities, cryptocurrencies, or legal tender. Their sole function is to enable members to access certain roles, remain active, distribute rewards, or recover discounts within the ShareDivi ecosystem.

4. Membership, Age and Registration

You must be at least eighteen (18) years of age and have the legal capacity to enter into binding agreements under the laws applicable in your country of residence. If you register or use the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you are duly authorized to bind that entity to these Terms.

You agree to provide complete, accurate, and up-to-date information when creating an Account and throughout your use of the Platform. ShareDivi reserves the right to verify the information provided and to suspend or terminate Accounts with incomplete, false, or misleading details. In cases of fraud, scams, impersonation, or the deliberate provision of false information, ShareDivi may immediately deactivate the Account, permanently remove access to the Platform, and confiscate all Shares and associated balances without compensation.

4.3. Responsibility for Account activity.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities carried out through your Account. Any use of your Account will be deemed your own. If you suspect unauthorized use, you must notify ShareDivi immediately.

4.4. One Account rule.

Each natural person or legal entity may register only one Account. The creation of multiple Accounts, impersonation, or use of false identities is strictly prohibited and may result in suspension, forfeiture of Shares, and termination of access to the Platform.

5. Membership Types and Reward Mechanism

5.1. Sharer: can invite PowerSharers or AdSharers, earns 350 Shares per referral (10x35), unlocked when invitee becomes PowerSharer or AdSharer. 5.2. PowerSharer: achieved with 375 Shares (1 ShareDivi). Must keep 1 ShareDivi in reserve. Each ShareDivi yields 650 Shares (10x65). Can also refer. 5.3. AdSharer: must be a business/independent. Membership = 350 Shares every 2 months (1 AdDivi). Each AdDivi yields 450 Shares (10x45). May set reward levels for products/services.

5.4. Discountpack; DiscountPacks – special packages available to AdSharers that are designed to help them recover the value of discounts they grant to customers on the Platform. By purchasing a DiscountPack, an AdSharer receives by purchasing a dicsountbackpack of 375 à 1000 Shares in their distribute wallet. By a Premium Discountbackpack 550 Shares à 1500 shares in their distribute wallet, thereby offsetting discounts provided to Sharers or PowerSharers. The specific types, pricing, and return of DiscountPacks are variable and communicated within the AdSharer’s personal dashboard.

6 Redemption and Conversion of Shares

6.1. Valuation of Shares. Within the Platform, each Share has a fixed nominal value of €1 (one Euro). This value applies solely within the ShareDivi ecosystem and determines the calculation of redemptions, package purchases, and reward allocations.

6.2. Redemption into local currency. Subject to availability in your jurisdiction, Shares may be redeemed into your local currency through authorized payout channels integrated in the Platform. ShareDivi may add, change, or discontinue payout methods at its discretion.

6.3. Conditions for redemption. Redemptions may only be initiated from an active Account that is in full compliance with these Terms. To prevent abuse and ensure regulatory compliance: You may be required to complete KYC (Know Your Customer) and AML (Anti-Money Laundering)verification before redemption.

Redemption requests may be subject to minimum and maximum thresholds, daily/monthly limits, or additional review.

6.4. ShareDivi reserves the right to withhold or delay redemptions in cases of suspected fraud, chargebacks, violations of law, or technical/security concerns.

6.5. Fees and processing. ShareDivi and/or its payment partners may charge transaction or service fees for processing redemptions. The applicable fees, conversion rates, and estimated processing times will be displayed prior to confirmation of a redemption request.

6.6. Local laws and restrictions. Redemption options, payout currencies, and settlement timelines depend on your country of residence and the legal/regulatory framework applicable there. Certain jurisdictions may restrict or prohibit redemptions; in such cases, ShareDivi F.Z.E. cannot be held liable if redemption is not possible.

6.7. Taxes. You are solely responsible for determining, declaring, and paying any taxes, levies, or duties arising from the redemption or conversion of Shares under the tax laws of your jurisdiction. ShareDivi does not provide tax advice and accepts no liability for your compliance with tax obligations.

7 AdSharers – Additional Obligations

7.1. Legal compliance. AdSharers must comply with all applicable commercial, consumer protection, e-commerce, data protection, intellectual property, and advertising laws and regulations in every jurisdiction in which their products or services are offered or sold through the Platform.

7.2. Accuracy of information. AdSharers are responsible for ensuring that all information they provide, including product or service descriptions, pricing, terms of sale, availability, and promotional materials, is at all times accurate, complete, lawful, and not misleading.

7.3. Sales and after-sales obligations. AdSharers are solely responsible for:

• the lawful conclusion of sales contracts with Sharers or PowerSharers,
• the timely delivery of purchased goods and services,
• warranty, returns, cancellations, refunds, and any statutory rights of consumers where applicable, and
• handling and resolving customer complaints in good faith and within a reasonable period.

7.4. Prohibited content and practices. AdSharers may not offer, list, or promote products or services that are illegal, unsafe, infringe third-party rights, or are otherwise prohibited by ShareDivi’s Acceptable Use Policy.

7.5. Licensing of content. By uploading or submitting any trademarks, logos, images, videos, text, or other content (“AdSharer Content”) to the Platform, the AdSharer grants ShareDivi a non-exclusive, worldwide, royalty-free, sublicensable and transferable license to host, display, reproduce, distribute, and promote such content solely in connection with the operation of the Platform and related marketing activities.

7.6. Independence of responsibility. ShareDivi does not assume any responsibility for the AdSharer’s products, services, or content. All obligations and liabilities towards Sharers or PowerSharers rest exclusively with the AdSharer.

7.7.Consequences of breach. Failure to comply with these obligations may result in removal of listings, suspension or termination of the AdSharer’s Account, forfeiture of Shares, and/or legal action.

8 Prohibited Use (Acceptable Use)

8.1.You agree not to use the Platform, directly or indirectly, for any activity that is unlawful, fraudulent, abusive, or otherwise harmful to ShareDivi, its members, or third parties. Prohibited uses include, but are not limited to:

8.2. Illegal and fraudulent activity. Using the Platform to engage in fraud, money laundering, terrorist financing, identity theft, or any other criminal activity.

8.3. Pyramid or similar schemes. Promoting or participating in pyramid schemes, Ponzi schemes, get-rich-quick systems, or any comparable arrangement.

8.4. Referral abuse. Engaging in self-referrals, creating multiple Accounts, or manipulating the referral system in any way to obtain Shares unlawfully.

8.5. Malicious technology. Uploading, transmitting, or distributing malware, viruses, spyware, or any code intended to disrupt, damage, or gain unauthorized access to systems, data, or networks.

8.6. Unauthorized access. Scraping, data-mining, hacking, reverse engineering, or otherwise attempting to gain unauthorized access to the Platform or its infrastructure.

8.7. Prohibited goods and services. Advertising, selling, or distributing products or services that are illegal, unsafe, infringe third-party rights, or are otherwise prohibited under applicable law or ShareDivi policy. Examples include but are not limited to weapons, drugs, controlled substances, counterfeit goods, gambling services, and adult content.

8.8. Misleading or deceptive conduct. Making false or misleading claims regarding potential earnings, investment-like returns, or financial guarantees. Shares are loyalty/reward points only and not securities, crypto assets, or legal tender.

8.9.Consequences of breach. Any violation of this Acceptable Use Policy will result in immediate and definitive suspension (termination) of your Account and permanent exclusion from the Platform, in addition to forfeiture of any accrued Shares and potential legal action.

9 Intellectual Property

9.1.The Platform (design, content, software) is owned by ShareDivi or licensors. You are granted a limited, revocable, non-transferable license to use the Platform. No copying, redistribution, or resale without consent.

10. Moderation, Measures and Sanctions

10.1. To protect the integrity of the Platform and its members, ShareDivi reserves the right to take appropriate corrective measures at its sole discretion in the event of actual or suspected violations of these Terms, fraud, abuse, or illegal conduct. Such measures may include, without limitation:

10.2. Content removal. Deleting or disabling any content, listings, or promotional materials that breach these Terms or applicable law.

10.3. Account actions. Temporarily suspending, restricting, or permanently terminating your Account and access to the Platform.

10.4.Revocation of Shares. Withholding, cancelling, or reclaiming Shares that were earned, allocated, or redeemed in violation of these Terms.

10.5.Freezing of funds. Placing redemption requests or payouts on hold pending investigation.

10.6.Notification. Reporting violations to competent authorities, regulators, or affected third parties.

10.7.Legal recourse. Initiating civil or criminal proceedings where necessary to protect ShareDivi’s rights and those of its members.

10.8.Decisions regarding enforcement are final and may be taken without prior notice if required to protect the Platform.

11. Termination

11.1.You may close your Account at any time. We may suspend or terminate your access in cases of violation or fraud. Unused Shares may expire under certain conditions.

12. Privacy and Data

12.1.We process personal data in accordance with our Privacy Policy and applicable laws (including GDPR for EU users). Data may be shared with third-party providers subject to safeguards. – Check our privacypolicy for more.

13. Cookies

13.1. The Platform uses cookies and similar technologies for essential operation, analytics, and security. Users can manage preferences, though essential cookies are mandatory.

14. Changes to Platform, Shares and Terms

14.1.We may change functionalities, reward schemes, conversion rules, or these Terms. Material changes will be notified. Continued use constitutes acceptance.

15. Disclaimer of Warranties

15.1.The Platform is provided “as is” and “as available”. No guarantees for uninterrupted or error-free service.

16. Limitation of Liability

16.1 No consequential damages. To the maximum extent permitted by applicable law, ShareDivi and its affiliates, directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, punitive, or consequential damages. This includes, without limitation, loss of profits, loss of revenues, loss of goodwill, loss of anticipated savings, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

16.2. Platform reliance. We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that defects will be corrected. You acknowledge that you use the Platform at your own risk, and that Shares and packages are loyalty/reward mechanisms, not financial products, securities, or guaranteed investments.

16.3. Cap on liability. In any event, our aggregate liability to you, whether in contract, tort (including negligence), statutory duty, or otherwise, shall be limited to the greater of: €100 (one hundred Euros), or the total amount of fees you have paid to ShareDivi in the three (3) months immediately preceding the event giving rise to the claim.

16.4.Jurisdictional limits. Some jurisdictions do not allow the exclusion or limitation of certain liabilities. In such cases, our liability shall be limited to the maximum extent permitted by applicable law.

17. Indemnity

17.1.You agree to indemnify ShareDivi against claims by third parties resulting from your use of the Platform or violation of these Terms, only in the UAE.

18. Force Majeure

18.1.We are not responsible for delays or failures caused by events beyond our reasonable control (e.g. outages, natural disasters, legal restrictions).

19. Electronic Communication and Consent

19.1.Electronic acceptance (e.g. clicking “I Agree”) constitutes legally binding consent. Digital records are valid evidence. More info at info@sharedivi.com

20. Governing Law and Disputes

20.1.These Terms are governed by the laws of Dubai, UAE. Disputes will be resolved through arbitration under rules in UAE, in English.

21. Assignment, No Waiver, Severability

21.1.You may not assign rights without our consent. Our failure to enforce rights is not a waiver. If a provision is invalid, the remainder stays in force.

22. Entire Agreement and Precedence

22.1.These Terms form the entire agreement on Platform use. Specific agreements (e.g. AdSharer Agreement) prevail in case of conflict.

Annex A – Detailed Share Rules

Shares are loyalty points, not securities or crypto. Vesting in tranches (“spread in time”). Referrals only count if legitimate. Multi-accounting and self-referrals are prohibited. KYC/AML checks apply. We may change values, caps, or redemption rules with notice.

Annex B – AdSharer Specific Provisions

AdSharers must maintain at least 1 AdDivi active. They may set reward budgets for their products/services. They license branding content to ShareDivi. They must comply with consumer laws and sanctions. On termination, unused tranches may expire, but consumer rights remain with the AdSharer.
